RE: Immediate Resignation and Intellectual Property Notice

To Amanda & Wayne,

This letter serves as my formal resignation from my positions as Designer, Co-Editor, Social

Media Marketing Director, and Co-Founder of SHE IS AI Magazine, effective immediately.

This decision is based on several significant concerns that have arisen during my tenure:

1. Material Changes to Agreement Terms:

   1. The documented evolution of compensation terms from initial discussions to final offer demonstrates substantial deviation from original agreements

   2. Multiple instances of changing terms regarding equity structure and profit sharing, as evidenced in our meeting records from September 6, September 27, and October 8, 2024

   3. Inconsistent and shifting promises regarding investment allocation and compensation structure

      
      

2. Operational Integrity:

   1. Lack of transparency regarding business structure and decision-making processes

   2. Introduction of unauthorized changes to leadership structure without proper consultation

   3. Failure to provide written documentation of agreements despite multiple requests

      
      

3. Professional Conduct:

   1. Multiple instances of misrepresentation regarding my contributions and role

   2. Failure to maintain agreed-upon standards of communication and collaboration

   3. Breach of trust in team communications

      
      

INTELLECTUAL PROPERTY NOTICE

I hereby formally notify you that:

1. I retain full ownership rights to all content I have created for SHE IS AI Magazine, including but not limited to:

   1. The "Viral Visions" article and all associated images

   2. All videos created for the magazine's promotion

   3. All layout design: individual contributor’s layouts, letter from the editor layout, table of contents, contributor’s page layout, and team page layout

   4. Any additional content I have created during my tenure

      
      

2. Permission for Use:

   1. SHE IS AI Magazine is granted one-time usage rights for the above content in Issue only

   2. Any use beyond Issue requires explicit written permission and appropriate compensation

   3. Any unauthorized use will result in immediate legal action and invoicing at market rates

      
      

3. Required Actions:

   1. All my intellectual property must be removed from your systems after Issue #1

      publication

   2. Any future use must be formally requested in writing

   3. Confirmation of receipt of this notice is required within 5 business days

      
      

Given the absence of signed contracts and lack of compensation, all intellectual property rights remain with me as the original creator under standard copyright law.
